Establishment of Enterprises
General
Article 3 of the LawonBusiness and Enterprises1 provides that inMoldova business activity
may be conducted in the form of an enterprise.
An enterprise is a business entity that has its own brand name and is established by an entrepreneur
according to the procedure stipulated by law.
Business activity may be practiced in the following business forms:
• Sole partnerships;
• Full liability partnerships;
• Limited liability partnerships;
• Joint stock companies;
• Limited liability companies;
• Production cooperatives;
• Lease enterprises; or
• State and municipal enterprises.2
An enterprise may have the staus of a legal or a natural person.3 Enterprises in the form of
legal persons and enterprises in the form of natural persons have equal rights and obligations,
with the exception of liability of the owner for its obligations.4
An enterprise becomes a subject of law from the moment of its state registration.
State Registration of Enterprises
General
Article 5(1) of the Law on State Registration of Enterprises and Organizations (Law on
Registration)5 stipulates that the State Registration Chamber of the Republic of Moldova
(Registration Chamber) is the sole public authority carrying out uniform state registration
of enterprises via its regional branch authorities.
Enterprises, their branches, and representative offices are registered by regional branch
authorities of the Registration Chamber operating in the area of location of such enterprises,
their branches, and representative offices.6
For the purpose of state registration of an enterprise, its founders must submit to a regional
branch authority of the Registration Chamber the documents stipulated by Moldavian
legislation.7
